These Terms and
Conditions of Use (the "Terms of Use") apply to the Pupilapp.app
website or app located at www.Pupilapp.app, and all associated sites
linked to www.Pupilapp.app by Pupilapp.app, its subsidiaries and
affiliates, including Pupilapp.app sites around the world (collectively, the
"Site"). This Site is the property of Pupilapp.app under the license
of A3L conglomerate. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU
DO NOT AGREE, DO NOT USE THE SITE.

By completing the
registration process and clicking the "Register" button or by logging
into to the site you are stating that you agree to be bound by all of the terms
and conditions of this agreement.

To use this site as a
vendor, you must hold a verifiable license for the services that you provide or
products that you sell. To use this site as a *user* or customer, you
acknowledge that you are doing so on your own accord or under the supervision
of a legal guardian.

Pupilapp.app or its
affiliates, as a platform and technology services provider, holds no liability
for any damages resulting from transactions you make, products, or services you
receive or sell on or from this site. Agreements for refunds will be based on
the terms you agree with, with each vendor(user) or service provider on our
platform. Vendors and customers on this platform are accountable for each
other, and by using this site, each vendor and customer vows to transact in an
ethical, legal manner, and vows to only provide goods, products and services
that are approved from your state or country of residents and are of the
highest quality and safety. Pupilapp.app
holds the safety and security of our users in the highest regard, and therefore
we go to lengths to make sure technologically, that we protect our users. We
are complaint and will promptly work with and cooperate with law enforcement if
any issues against the provisions and definitions of our terms of use or
service should arise. Should any issues arise between vendors and customers, Pupilapp.app,
although excluded from any liability, and are held harmless related
transactions of any forms between vendors and customers (users) on our platform
or site, will play an arbitrary role to make sure these issues are resolved
promptly or get law enforcement involved to expedite the process. In all, we
trust that our vendors and customers understand that we have built this
platform for them to conduct business in the most efficient, profitable, customer
satisfying, and economically empowering manner, and that we will rely on our
vendors and customers to report promptly, any users , products, or services
that go against our terms of use and service.

This agreement describes
the terms and conditions applicable to your use of our services for both
registered and non-registered users at Pupilapp.app. We may amend this
agreement at any time by posting the amended terms on our site. All amended
terms shall automatically be effective as soon as they are posted on our site.

Pupilapp.app reserves the
right, at its sole discretion, to change, modify, add or remove portions of
these Terms of Use, at any time. It is your responsibility to check these Terms
of Use periodically for changes. Your continued use of the Site following the
posting of changes will mean that you accept and agree to the changes. As long
as you comply with these Terms of Use, Pupilapp.app grants you a personal, non-exclusive,
non-transferable, limited privilege to enter and use the Site.

artwork and computer code (collectively, "Content"), including but not
limited to the design, structure, selection, coordination, expression,

Site is owned, controlled or licensed by or to Pupilapp.app, and is protected
by trade dress, copyright, patent and trademark laws, and various other
intellectual property rights and unfair competition laws.

Except as expressly
provided in these Terms of Use, no part of the Site and no Content may be
copied, reproduced, republished, uploaded, posted, publicly displayed, encoded,
translated, transmitted or distributed in any way (including
"mirroring") to any other computer, server, Web site or other medium
for publication or distribution or for any commercial enterprise, without Pupilapp.app’s
express prior written consent.

You may use information
on Pupilapp.app products and services (such as data sheets, knowledge base
articles, and similar materials) purposely made available by Pupilapp.app for
downloading from the Site, provided that you (1) not remove any proprietary
notice language in all copies of such documents, (2) use such information only
for your personal, non-commercial informational purpose and do not copy or post

Content, to obtain or attempt to obtain any materials, documents or information
through any means not purposely made available through the Site. Pupilapp.app
reserves the right to bar any such activity or pursue legal ramifications
against any party responsible for such acts. Any parties responsible for such
act is liable for all damages, including those associated with costs that stem
from loss of customers or damage to public reputation or trust, litigation fees
(including travel costs), all loss of revenue for other users and partners of Pupilapp.app
as an entity.

You may not attempt to
gain unauthorized access to any portion or feature of the Site, or any other
systems or networks connected to the Site or to any Pupilapp.app server, or to
any of the services offered on or through the Site, by hacking, password
"mining" or any other illegitimate means.

You may not probe, scan
or test the vulnerability of the Site or any network connected to the Site, nor
breach the security or authentication measures on the Site or any network connected
to the Site. You may not reverse look-up, trace or seek to trace any
information on any other user of or visitor to the Site, or any other customer
of Pupilapp.app, including any Pupilapp.app account not owned by you, to its
source, or exploit the Site or any service or information made available or
offered by or through the Site, in any way where the purpose is to reveal any
information, including but not limited to personal identification or
information, other than your own information, as provided for by the Site.

You agree that you will
not take any action that imposes an unreasonable or disproportionately large
load on the infrastructure of the Site or Pupilapp.app’s systems or networks,
or any systems or networks connected to the Site or to Pupilapp.app.

You agree not to use any
device, software or routine to interfere or attempt to interfere with the
proper working of the Site or any transaction being conducted on the Site, or
with any other person’s use of the Site.

You may not forge headers
or otherwise manipulate identifiers in order to disguise the origin of any
message or transmittal you send to Pupilapp.app on or through the Site or any
service or product offered on or through the Site. You may not pretend that you
are, or that you represent, someone else, or impersonate any other individual
or entity.

You may not use the Site
or any Content for any purpose that is unlawful or prohibited by these Terms of
Use, or to solicit the performance of any illegal activity or other activity
which infringes the rights of Pupilapp.app or others. Any responsible parties
of such act will be liable for all damages including those of immediate cost
and projected cost based on Pupilapp.app’s business performance over its life
span, the business performance of each individual user, and each individual
user using the Pupilapp.app site and or app.

Purchases: Other Terms
and Conditions

Additional terms and
conditions may apply to purchases of food, goods or services and to specific
portions or features of the Site, including contests, promotions or other
similar features, all of which terms are made a part of these Terms of Use by
this reference. You agree to abide by such other terms and conditions,
including where applicable representing that you are of sufficient legal age to
use or participate in such service or feature or consume such goods and
services. If there is a conflict between these Terms of Use and the terms

offered on or through the Site, the latter terms shall control with respect to
your use of that portion of the Site or the specific service.

Pupilapp.app’s
obligations, if any, with regard to its products and services are governed
solely by the agreements pursuant to which they are provided, and nothing on

Pupilapp.app may make
changes to any subscription pricing for services offered as a platform, besides
those of vendors or customers using this site, or to the applicable prices for
any such subscriptions or services, at any time, with notice. Vendors can make
changes to prices of their products and service on their own accord and can
choose to notify existing or future customers. The materials on the Site with respect to
products and services may be out of date, and Pupilapp.app makes no commitment
to update the materials on the Site with respect to such products and services.
We encourage vendors to always keep in store and display what is considered
their most current services, foods, goods, or products.

Accounts, Passwords and
Security

Certain features or
services offered on or through the Site may require you to open an account
(including setting up an Pupilapp.app ID and password). Although we have strict
measures in place, you are entirely responsible and liable for maintaining the
confidentiality of the information you hold for your account, including your
password, and for any and all activity that occurs under your account as a
result of your failing to keep this information secure and confidential. You

arising from your failure to comply with these obligations.

you for any damage or loss which arises out of or is in any way connected with
your use of the Site or any Content, Pupilapp.app’s liability shall in no event
exceed $0 or zero dollars. By using our site, you acknowledge these terms.

Indemnity

You agree to indemnify
and hold Pupilapp.app, its officers, directors, shareholders, predecessors,
successors in interest, employees, agents, subsidiaries and affiliates,
harmless from any damages, demands, loss, liability, claims or expenses
(including attorneys’ fees), made against Pupilapp.app by any third party due

circumstances. These remedies are in addition to any other remedies Pupilapp.app
may have at law or in equity.

may, in its sole discretion and without prior notice, terminate your access to
the Site, for cause, which includes (but is not limited to) (1) requests by law
enforcement or other government agencies, (2) a request by you (self-initiated
account deletions), (3) discontinuance or material modification of the Site or
any service offered on or through the Site, or (4) unexpected technical issues
or problems.

If Pupilapp.app does take
any legal action against you as a result of your violation of these Terms of
Use, Pupilapp.app will be entitled to recover from you, and you agree to pay,
all reasonable attorneys’ fees and costs of such action, in addition to any
other relief granted to Pupilapp.app. You agree that Pupilapp.app will not be
liable to you or to any third party for termination of your access to the Site
as a result of any violation of these Terms of Use.

Governing Law: Dispute
Resolution

You agree that all
matters relating to your access to or use of the Pupilapp.app, including all
disputes, will be governed by the laws of the United States, your country or
state of residence and by the laws of the State of Minnesota without regard to
its conflicts of laws provisions. You agree to the personal jurisdiction by and
venue in the state and federal courts in, Minnesota, US, and waive any
objection to such jurisdiction or venue. The preceding provision regarding
venue does not apply if you are a consumer based in the European Union. If you
are a consumer based in the European Union, you may make a claim in the courts
of the country where you reside. Any claim under these Terms of Use must be
brought within one (1) year after the cause of action arises, or such claim or
cause of action is barred. In the event of any controversy or dispute between Pupilapp.app
and you arising out of or in connection with your use of the Site, the parties
shall attempt, promptly and in good faith, to resolve any such dispute. If we
are unable to resolve any such dispute within a reasonable time (not to exceed
thirty (30) days), then either party may submit such controversy or dispute to
mediation. If the dispute cannot be resolved through mediation, then the
parties shall be free to pursue any right or remedy available to them under
applicable law. In any case, Pupilapp.app total liability shall not exceed more

such use are hereby superseded and cancelled. Other than as provided in a

accept any counter-offers to these Terms of Use, and all such offers are hereby
categorically rejected. Pupilapp.app’s failure to insist on or enforce strict performance
of these Terms of Use shall not be construed as a waiver by Pupilapp.app of any
provision or any right it has to enforce these Terms of Use, nor shall any
course of conduct between Pupilapp.app and you or any other party be deemed to
modify any provision of these Terms of Use. These Terms of Use shall not be
interpreted or construed to confer any rights or remedies on any third parties.

Pupilapp.app provides
access to Pupilapp.app international data and, therefore, may contain
references or cross references to Pupilapp.app products, programs and services
that are not announced in your country. Such reference does not imply that Pupilapp.app
in your country intends to announce such products,foods, programs or services.

REGISTRATION OBLIGATIONS

Users agree to treat each

offensive (including but not limited to images, text and audio ) will not be
tolerated and content may be removed. Pupilapp.app staff, as a company will
accept no responsibility for content posted by users and may not monitor every
post, upload, comment or users profile pages. We do however encourage, and it’s
our responsibility as a community to report anything we feel is offensive so
the necessary actions can be taken. Pupilapp.app will and is not liable for any
copyright, offensive, or abusive material posted or uploaded to our site by
users. We encourage users to report copyright material so it can immediately be
taken down. We will have strict measures and technologies in place to control
copyrighted, offensive, or abusive material. We will work with authorities and
any other legal parties to provide any information on any users that violate
our terms of use.

MISUSE AND ABUSE OF
SERVICES

We strictly prohibit
unauthorized access or downloading of data using any computer program including
but not limited to downloaders, page scrapers, data mining, web scraping, and
automated data extraction or remote protocols or technologies. You agree to not
use any robot, spider, rover, scraper, or any other data mining technology or
automatic or manual process to monitor, cache, frame, mask, extract data from,
copy or distribute the Materials. You may not distribute copyrighted material ,
foods, products, or services, without the right license holder’s, Pupilapp.app
or owners consent. By using our service or app you agree to not engage, be
associated with or take part in any behavior that is deemed Fraudulent with or
without intent. Any responsible party is liable for all cost that will be
associated with damages resulting from any activity deemed fraudulent. Pupilapp.app
is willing and will provide or data and information necessary if any user on
our platform is deemed responsible for such activity. We believe in you guys.
We made Pupilapp.app for you. So let keep the bad apples out.

NEWLETTERS AND EMAILS

As a member/user of Pupilapp.app
you agree that we may send you an occasional newsletter. Our newsletter may
contain information regarding updates to Pupilapp.app.com, interesting
articles, sponsored information and or member offers from third parties. We
will not pass on your contact details to any third parties, and all email will
be sent from Pupilapp.app. If you receive an email from a domain other than Pupilapp.app,
you should ignore it and contact us immediately.

LINKS AND OUTSIDE CONTENT

We are not responsible or
liable for any content of outside of our website or apps.

CONTENT IN PUPILAPP.APP

User content, uploads, of
goods, foods, and services will only stay on Pupilapp.app. Any unauthorized use
is liable for damages. If any entity wants to get their hands on your content
outside of regular streaming, they must purchase a license from the Pupilapp.app
license holder’s/owners store inside of Pupilapp.app.

FEES & CHARGES

Users and vendors maybe
charged a subscription fee or charged a commission on all completed
transactions between users and vendors. Unless otherwise stated.

LICENSE GRANT

All content on Pupilapp.app
is copyright protected unless indicated otherwise.

REPRESENTATIONS AND
WARRANTIES FOR CONTENT, GOODS, FOODS, PRODUCTS AND SERVICES.

You represent and warrant
that: (a) All content related to food, goods, products or services you upload
or distribute to Pupilapp.app, is licensed under your name, is your own
original work, and contains no material that has been sampled from copyrighted
works belonging to third parties; (b) the Material does not and will not
infringe on any third party's copyright, patent, trademark, trade secret or
other proprietary rights; (c) the material does not and will not violate any
law, statute, ordinance or regulation; (d) the material is not and will not be
libelous, defamatory, pornographic or obscene; (e) the Material does not and
will not contain any viruses, Trojan horses, worms, time bombs or other
programming routines that detrimentally interfere with, intercept or
expropriate any system, data or personal information; (f) your content does not
and will not create any liability on the part of Pupilapp.app, its
subsidiaries, affiliates, successors, and assigns, and their respective
employees, agents, directors, officers and/or shareholders.

LIABILITY FOR CONTENT

You acknowledge and agree
that Pupilapp.app stores/apps/site content and other information at the
direction, request and with the authorization of its users, (ii) acts merely as

such content, and (iii) plays no active role and gives no assistance in the

Again, Pupilapp.app was created for you, so you must do you part to report
copyright, inappropriate, discriminatory and abusive content. They will not be
allowed. Help us keep the bad guys out!

Pupilapp.app and its
subsidiaries, affiliates, successors, assigns, employees, agents, directors,
officers and shareholders hereby are excluded, from any and all liability
which may arise from any content uploaded to the platform by users, including,
but not limited to, any claims for infringement of intellectual property

BREACH OF TERMS

Without limiting other
remedies, we may immediately issue a warning, temporarily suspend, indefinitely
suspend or terminate your account and refuse to provide our services to you:
(a) if you breach this agreement; (b) if we are unable to verify or
authenticate any information you provide to us; (c) if we believe that your
actions may cause legal liability for you, our users or customers or us (d) or
for any other reason that we choose. We will in most cases give a warning but

TERMINATION OR LIMITATION

Should your account be

under this agreement exceed $0.00. Although such a scenario is unlikely, if our
users follow our terms and conditions as a usage guide. If we should be
summoned to any litigation or to any appearance in court, the individual or
company who summons us will be liable to pay our lawyer fees, any fees
associated with our appearance in court and any cost or losses associated with
our absence to conduct everyday business at the time of, or projective or
forecasted future revenue losses as reimbursement.
